Pie Shamecorner

The copyright of the artwork(s) commissioned by the Client shall be retained by the Artist (Pie Shamecorner).

The Client or Client’s customer (where the Client is acting as an intermediary) is granted the right to reproduce the artwork(s) solely for the purposes of non-profit personal use only.

During the currency of the licence Pie Shamecorner shall notify the Client of any proposed exploitation of the artwork(s) for purposes other than self-promotion and the Client shall have the right to make reasonable objections if such exploitation is likely to be detrimental to the business of the Client or Client’s customer.

When the use of the artwork(s) is restricted, Pie Shamecorner will grant the Client and Client’s customer a licence for use for other purposes subject to payment of a further fee in line with current licencing rates to be mutually agreed between Pie Shamecorner and the Client.

The licence is granted to use the artwork(s) is contingent upon Pie Shamecorner having recieved payment in full of all money due to Pie Shamecorner and no reproduction or publication rights are granted unless and until all sums due under this Agreement have been paid.

The licence hereby granted is personal to the Client or the Client’s customer (where the Client is acting as an intermediary) and the rights may not be assigned or sub-licenced to third parties without Pie Shamecorner’s consent.

Use of the artwork(s) to train AI or use in NFTs art is prohibited.

The Client shall pay in a single instalment to Pie Shamecorner before work begins. This work will commence upon receipt of that payment.

In the event of cancellation or refund, ownership of all rights granted under this Agreement shall revert to Pie Shamecorner unless the artwork(s) are based on the Client’s visual or otherwise agreed.

Delivery date of the artwork(s) shall be decided upon by Pie Shamecorner and made known to the Client upon Pie Shamecorner receiving full payment before work begins.

Pie Shamecorner shall use his best endeavours to deliver the artwork(s) to the Client by the agreed date and shall notify the Client of any anticipated delay at the first opportunity, in which case the Client may (unless the delay is the fault of the Client) make time of the essence and cancel the commission without payment in the event of Pie Shamecorner failing to meet the agreed date.

Pie Shamecorner shall not be liable for any consequential loss or damages arising from late delivery of the artwork(s).

The Client shall make an immediate objection upon delivery if the artwork(s) received are not in accordance with the brief. If such objection is not received by Pie Shamecorner within 1 month of delivery of artwork(s) it shall be conclusively presumed that the artwork(s) are acceptable.

The Client will be given an opportunity to review an image proof before confirming their approval and acceptance of the image(s). Minor changes to the artwork(s) in accordance with the initial brief provided by the Client will be honoured by Pie Shamecorner at such a time.

Should the artwork(s) fail to satisfy, the Client may reject the artwork(s) received up to 1 month after delivery.

In the event of a rejection, ownership of all rights granted under this Agreement shall revert to Pie Shamecorner unless the artwork(s) are based on the Client's visual or otherwise agreed

The Client will be entitled to a refund available by contacting Pie Shamecorner at the address [email protected]

The Client will destroy all copies of the artwork(s) in their possession and make no claim to the work

If the Client changes the brief and requires subsequent changes, additions, or variations to the agreed artwork(s), Pie Shamecorner may require additional payment for such work. Pie Shamecorner may refuse to carry out changes, additions or variations which substantially change the commission.

No distortion or removal of Pie Shamecorner's watermark shall be made to the original image(s) or any reproduced image(s) without prior notice to or consultation with Pie Shamecorner.

Cropped selections of the artwork(s) are available to the Client for use on social media upon request within 1 month of delivery of artwork.

Except where artwork is based on reference material or visuals supplied by the Client or where otherwise agreed, Pie Shamecorner warrants that the artwork is original and does not infringe any existing copyright and further warrants that Pie Shamecorner has not used the artwork elsewhere.

The Client warrants that any necessary permissions have been obtained for the agreed use of reference material or visuals supplied by the Client or its customer and shall indemnify Pie Shamecorner against any and all claims and expenses including reasonable legal fees arising from Pie Shamecorner's use of any materials provided by the Client or its customer.

Pie Shamecorner shall retain ownership of all artwork (including roughs, concept art, and other materials), delivered to the Client.

Pie Shamecorner’s original artowrk(s) shall not be intentionally destroyed, damaged, altered, retouched, modified or changed in any way whatsoever without the consent of Pie Shamecorner

The Client may make, retain and share copies of the artwork(s) to enable the exploitation of the rights granted to them with the artwork.

The Client shall not be liable for any consequential loss or damages arising from loss or corruption of the delivered artwork(s) data file(s)

The Client shall ensure Pie Shamecorner is credited in any use of the artwork(s) on social media

Pie Shamecorner hereby waives the right to injunctive relief for breaches of the right of integrity and the right of paternity.

All notices shall be sent to Pie Shamecorner at [email protected] and to the Client at the email address they have provided to Pie Shamecorner. Each party shall give written notification of any change of email address to the other party prior to the date of such change.

These terms and conditions are governed by the law of England and Wales and may not be varied except by agreement in writing. The parties hereto submit to the non-exclusive jurisdiction of the English Courts.
